Terms of Service — Soluci Studio

These are our standard terms of service for any design project. Please review this carefully, and if anything stands out as a potential concern, please contact us at: daluci@solucistudio.com before the project begins, so we can discuss any necessary adjustments for your specific project.

Payment

SoLuci Studio reserves the right to request a 50% deposit prior to commencing work on your project. If a deposit is required, an invoice will be issued and sent via email/whatsapp. Payment is due within 7 days of the invoice issue date. Payment of the deposit constitutes acceptance of these Terms of Service and forms a binding agreement between you and SoLuci Studio.

 

The remaining balance for the project and any associated services will be invoiced prior to the release of final files or project deliverables. SoLuci Studio reserves the right to withhold delivery of all final files until payment has been received in full. SoLuci Studio reserves the right to invoice earlier than outlined if the client becomes uncontactable or unresponsive for a period exceeding 30 days.

Clients may request a payment plan, which may be approved at the sole discretion of SoLuci Studio. All payment plans must be agreed upon in writing by both parties prior to commencement.

 

All invoices are payable within 7 days of the issue date unless otherwise agreed in writing.

SoLuci Studio reserves the right to recover any costs or fees incurred in connection with the collection or recovery of overdue accounts that remain unpaid for more than 30 days.

Restrictions

These Terms of Service do not give you the rights or permission to use/modify/alter/replicate, or borrow any of the previous ideas/concepts/sketches that we present. All original preparation materials, sketches, visuals and unused ideas shown and considered will remain the property of SoLuci Studio.

We are free to use these unused and previous ideas for future conceptual and client work. Where a previously unused idea/design retains a similar look and style to the finished design, I shall repurpose and style so that the end design is sufficiently different as to not cause conflict.

 

Unless otherwise agreed and arranged, we reserve the right to showcase the finished design and associated designs in our portfolio and in any number of online galleries/portfolio/showcases/awards as well as in printed literature including books and magazines, now and in the future. Associated designs and artwork can include commercial print design/business card/stationery design/signage/desktop icons/mobile phone and other portable device application icons and imagery. 

ANY supporting artwork, concepts, or design materials created as part of your project may be used by So Luci Studio for personal and professional purposes. 

 

You are free to change, modify and adapt the finished design as you see fit, but you do so at your own risk.

Ownership & Copyright

All preparation materials, sketches, visuals, including the electronic files used to create the project remain the property of SoLuci Studio. The final artwork/digital files will become your property ONLY upon final payment of the project. If final payment is NOT received as agreed, all designs and concepts will remain the property of SoLuci Studio until payment is received.

If there are issues with final payment, we reserve the right to reuse or amend any of these ideas for other clients, or to be used freely as concepts in our portfolio. Should the client attempt to use/modify/alter/replicate or steal any of our ideas without making agreed final payment, I will take immediate legal counsel.

SoLuci Studio reserves the right to show any artwork, ideas, sketches created for this project in a portfolio as examples of client work. This is typically, but not limited to the completion of the project. If you have any specific ‘secrecy/stealth mode’ or NDA requirements, please mention this before agreeing to the proposal.

Final payment ensures that ONLY the agreed design becomes your property. Any previous ideas/concepts remain ours, unless any prior agreement has been made. 

Trademark & Copyright

SoLuci Studio does not conduct trademark searches, copyright clearance, or legal name availability checks as part of any design service. Due to the time, cost, and legal complexity involved in these processes, SoLuci Studio is unable to provide practical or legal assistance in this regard.

If you require a logo, brand name, slogan, or any other brand asset to be registered as a trademark or otherwise legally protected, you are responsible for seeking independent legal advice and completing the relevant registration processes.

Brand Naming

You take full responsibility for ensuring that your company, product, or brand name is legally available and safe to use before work commences. Should any legal issue arise in relation to the name after project completion, SoLuci Studio will not be held legally responsible and no refunds will be issued.

Please ensure that the name you intend to use has undergone appropriate checks prior to committing to a project. Name changes during an active project are costly, time-consuming, and may result in significant delays.

If a name change is required mid-project after substantial design exploration has already been presented, SoLuci Studio reserves the right to reassess and recalculate the total project cost to account for the additional work required. It is your responsibility to ensure that the chosen name does not infringe on any existing trademarks, registered business names, or intellectual property rights.

Cancellation

Cancellation During the Project

If you choose to cancel the project after concepts, ideas, or proposals have been presented, any payments made up to that point are non-refundable. In certain circumstances, and at the discretion of SoLuci Studio, a partial refund may be considered based on the work completed and the overall project scope.

If SoLuci Studio is unable to complete the project due to illness or unforeseen circumstances, a portion or the full project fee will be refunded. Where applicable, any completed work that may reasonably be used by another designer will be provided, and refunds will be calculated based on work completed.

Project Suspension

SoLuci Studio reserves the right to suspend or terminate a project if there is persistent micromanagement, a continued lack of trust, an inability to move forward after a reasonable number of unique concepts have been presented, or reluctance or failure to settle outstanding payments.

Fair notice will be given, along with a reasonable opportunity to resolve the issue prior to suspension or termination. Any suspension or termination will not result in refunds, and all work produced up to that point will remain the sole property of SoLuci Studio.

Force Majeure

SoLuci Studio shall not be considered in breach of these Terms of Service if performance is delayed or prevented due to an “act of God” or an act of any government, terrorism, riot, war, accident or any deficiency in materials or transportation or any other cause of any nature beyond our control.

 

You will be notified of any such delay, and performance will resume as soon as reasonably possible following the resolution of the force majeure event.

Limitation of Liability

Loss or Damage

You agree that SoLuci Studio shall not be held legally responsible for any loss or damage suffered or incurred as a result of using its services, including but not limited to amendments, errors, omissions, or reliance on any designs, documents, or materials produced.

All services and deliverables are used at your own risk. SoLuci Studio does not accept liability for reliance on third-party content, links, comments, advertisements, or services referenced during the course of a project.

While all designs presented will be original to the best of SoLuci Studio’s knowledge, and limited checks may be conducted to avoid unintentional infringement, no legal guarantees are made regarding originality, authenticity, or non-infringement. You are responsible for conducting your own due diligence and legal checks. Any concerns regarding originality or potential infringement must be raised prior to project commencement.
